Terms of Service

These terms are the agreement between you and Franco Projects LLC, which operates roster, for use of the roster app, its text messages, and the service behind them. They cover both sides of the app: the professionals who offer their work through it, and the clients who hire them.

1. Acceptance of these terms

By creating an account, accepting an invitation, or otherwise using roster, you agree to these terms. If you are using the service on behalf of a company, you confirm you are allowed to accept these terms for it.

If you do not agree with them, do not use the service.

2. Who can use the service

You must be at least 18 years old and legally able to enter into a contract. The service is not intended for children.

We may decline or close an account where we reasonably believe these terms are being broken, or where we are required to by law.

3. Your account

You are responsible for the accuracy of the details on your account and for keeping your sign-in credentials private. Anything done through your account is treated as done by you.

Tell us promptly if you believe someone else has gained access to your account.

4. What the service is — and is not

roster is the place where a professional and a client run their working relationship: agreements, jobs, messages, calls, files, scheduling, and billing.

We are not a party to the work agreed between a professional and their client, we do not employ the professionals who use the service, and we do not supervise, endorse, or guarantee the work itself. The professional and the client are responsible to each other for what they agree.

5. Payments, fees, and payouts

Payments between a professional and a client are processed by our payment provider, Stripe. Card details and bank details are handled by Stripe, not stored by us, and your use of those payments is also subject to Stripe's own terms.

Charges are shown before they are made, and are raised against a prepaid balance first where one exists, then against the payment method on file. A professional receives their payouts through a connected Stripe account they set up themselves.

On the free plan, a professional pays a 10% service fee on support billing; paid plans pay none, and job payments never carry one. Payouts carry Stripe's payout cost — 0.25%, and on the free plan also 25¢ per payout and $2 in any month they're paid. A client pays card processing on card charges. The amounts are shown in the app at the point of charge.

Payouts normally go out weekly. A professional can instead ask for an instant payout of money already collected, for a fee of 1.5% of the amount sent (minimum 50¢), deducted from that payout — the amount is quoted and must be confirmed each time before it is sent. If an instant payout cannot be completed, the fee is not charged and the money is paid out on the normal weekly schedule instead.

A professional's Pro or Business plan is a subscription purchased and billed through Apple's in-app purchase system, and is subject to Apple's own subscription terms (including how it renews and how it is cancelled, both managed from your Apple ID account settings, not in this app).

An invoice is emailed to the client automatically — when a job payment is charged, and once a month for a support plan — as well as being available in the app.

6. Cancellations, refunds, and disputes

Whether work is refundable is a matter between the professional and the client, under whatever they agreed. We can reverse a charge we made in error.

If the two sides disagree, we expect them to resolve it between themselves in the first instance. We may provide the record of what happened in the app, but we do not act as an arbitrator.

7. Your content and files

You keep ownership of everything you upload, write, or send through the service. You grant us only the permission we need to store it, back it up, and show it to the other people in that relationship so the service works.

You are responsible for having the right to share what you upload, and for not uploading anything unlawful or harmful.

8. Messages, calls, and calendar

Messages and call records are stored so both sides keep a shared history of the relationship, and because some of them determine what is billed.

On plans where call recording is available, a live call in the app may be recorded (audio only) so an AI-generated summary can be produced. The summary is shown to both people on the call and kept on the call history; the audio recording itself is deleted once the summary has been made.

Calendar sync is optional and off until you turn it on. When it is on, we write only the appointments created in the app to the calendar you choose, and we only ever change events we created.

9. Text messages (SMS)

If a freelancer you work with has added your mobile number to roster, they can message you by text. Those texts come from a roster number assigned to your relationship with that freelancer — never the freelancer's own number — and your replies to that number reach them. The same number stays with that relationship for as long as it lasts.

Message frequency varies. These are conversation texts: you get one when the freelancer sends you a message, and occasionally a payment request or a link to pay them on keeproster.com. roster does not send marketing texts. Message and data rates may apply.

Reply STOP at any time to stop texts from that number; you will get one text confirming it and no more after that. Reply START to resume. Reply HELP for help, or email support@keeproster.com. The freelancer is told that you opted out.

If you are a professional: add a client’s mobile number only when that client has agreed to receive texts from you through roster, and use texting only for your work with them — never for marketing, bulk, or unsolicited messages.

Carriers are not liable for delayed or undelivered messages.

10. Acceptable use

Do not use the service to break the law, to harass anyone, to send unsolicited bulk messages, to misrepresent who you are, or to interfere with the security or operation of the service.

Do not attempt to access another account, another relationship, or data you have not been given access to.

11. Suspension and termination

You may stop using the service and request deletion of your account at any time from Settings.

We may suspend or close an account that breaks these terms, or where continuing to provide the service would expose us or other users to real risk. Amounts already owed between a professional and a client remain owed.

12. Availability and changes to the service

The service is provided as it is, and features may change, be added, or be withdrawn as the product develops. We do not promise uninterrupted availability, and parts of the service depend on providers we do not control.

13. Disclaimers

To the extent the law allows, the service is provided without warranties of any kind, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

14. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, or consequential loss, or for lost profits, lost business, or lost data.

Nothing in these terms limits liability that cannot be limited by law.

15. Changes to these terms

We may update these terms as the service changes. When we do, we will update the "last updated" date above, and we will tell you in the app where the change is significant. Continuing to use the service after a change means you accept it.
